Justin Rosenberg

Based in the New York office, Justin Rosenberg is a Partner in the Firm’s Mergers and Acquisitions Practice. Recognized by The Legal 500 for his transactional prowess and diverse client base, he focuses his practice on a wide range of corporate transactions, including public and private company acquisitions, divestitures, cross-border transactions and private equity transactions. He also advises on securities law and corporate governance issues.

• Abbott Laboratories in its spin-off of AbbVie
• ADT in its acquisition of Defenders, and in its investment from Google in connection with the companies’ establishment of a long-term commercial partnership
• Air Methods in its $2.5 billion acquisition by affiliates of American Securities
• Funds managed by affiliates of Apollo Global Management in their acquisitions of Outerwall (n/k/a Coinstar), Shutterfly, Snapfish, Yahoo! and Univar Solutions
• Funds affiliated with Apollo Global Management in a $1.2 billion equity investment by State Farm in ADT, a portfolio company of Apollo
• Funds managed by affiliates of Apollo Global Management in the acquisition, alongside Elliott Investment Management, of $900 million of convertible preferred stock in Western Digital

Justin received his B.S. from the University of Pennsylvania’s Wharton School in 2001 and his J.D. from Northwestern University School of Law in 2007, both magna cum laude. He is admitted to practice in New York and joins Simpson Thacher from another international law firm.
