The Firm represented Ambipar Participações e Empreendimentos S.A. (“Ambipar”) in connection with its follow-on equity offering of R$717 million aggregate principal amount of its common shares on the São Paulo Stock Exchange (B3). The offering consisted of a primary offering of 54,106,281 common shares, at a price per common share of R$13.25.
The common shares were offered to qualified institutional buyers in the United States under Rule 144A and to non-U.S. persons in reliance on Regulation S. A concurrent offering was conducted in Brazil in compliance with CVM Resolution No. 160. The common shares are listed on the São Paulo Stock Exchange (B3) under the ticker symbol “AMBP3”.
