BrasilAgro Completes US$500 Million Private Placement of Common Shares

Simpson Thacher represented BrasilAgro – Companhia Brasileira de Propriedades 
Agrícolas ("BrasilAgro”) in connection with the private placement of US$500 million aggregate principal amount of its common shares.

The common shares were offered to a limited number of qualified institutional buyers in the United States in transactions exempt from, or not subject to, registration in reliance on Section 4(a)(2) of the U.S. Securities Act of 1933, as amended (the “Securities Act”), and to institutional and other investors outside the United States and Brazil in reliance on Regulation S under the Securities Act. A concurrent offering was conducted in Brazil to professional investors pursuant to CVM Instruction No. 476. The common shares are listed on the São Paulo Stock Exchange (B3) under the ticker symbol “AGRO3.”

BrasilAgro is a Brazilian company focused on the acquisition, development, exploitation and sale of rural agricultural properties, with a portfolio of 266,077 hectares of arable land located in the Brazilian States of Mato Grosso, Goiás, Minas Gerais, Maranhão, Bahia, Piauí and also in Paraguay.
